1. Acceptance of these terms
These terms are an agreement between you and SeriousPixel, LLC. They apply to the Placed Space app and to this website (together, the "service").
By downloading, installing or using the app, you agree to these terms. If you do not agree, do not use the app.
Our Privacy Policy explains how information is handled when you use the service.
2. Who we are
Placed Space is a product of SeriousPixel, LLC ("SeriousPixel", "we", "us"), a Tennessee limited liability company. Simply Made Life is a trade name (a DBA) of SeriousPixel, LLC. SeriousPass is SeriousPixel's own account service.
3. Eligibility
You must be at least 13 years old to use the app. If you are under the age of legal majority where you live, you may use the app only with the permission of a parent or legal guardian, who agrees to these terms on your behalf.
You may use the app only where doing so is lawful, and only if you are able to enter into a binding agreement with us.
4. License to use the app
The app is licensed to you, not sold. As long as you follow these terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the app on devices that you own or control.
The license is for your own use, including your own professional work with your clients. You may not rent, lease, lend, sell, sublicense or redistribute the app.
5. Accounts
You do not need an account to use the app. You may choose to sign in with a SeriousPass account, for example to sync through SeriousPass or to use a license that the account holds.
If you create a SeriousPass account, give accurate information, keep your sign-in credentials confidential, and tell us promptly if you believe someone else has used your account. You are responsible for activity on your account.
6. Purchases and subscriptions
Free tier
The app is free to download and includes a free tier with limits on the number of saved spaces and items.
Full access
Full access is a one-time purchase. It is not a subscription and does not renew.
Designer
Designer is an optional yearly subscription that is added to Full access. It renews automatically each year, at the price shown at the time of purchase, until you cancel it. To stop a renewal, cancel in your store account settings at least 24 hours before the end of the current period. Canceling stops future renewals; the subscription stays active until the end of the period you have already paid for.
If a Designer subscription ends, the spaces, items and layouts you have made stay available to you.
Billing and refunds
Purchases are billed by Apple or Google through the store where you made them, using the payment method on your store account. We do not process payments or receive your card details.
Refunds are handled by the store, under that store's refund policy. To ask for a refund, contact Apple or Google.
Prices
Prices are shown in the store before you buy and may change over time. A change in the price of a subscription will not apply to a period you have already paid for.
7. Redemption codes
Access may also be granted by a redemption code, for example one included with a course. A code is redeemed through a SeriousPass account, not in the app. Once the code is redeemed, signing in to the app with that account unlocks the access the code provides.
A code grants only the access stated when it was issued. Codes have no cash value and may not be sold or traded. We may limit, replace or withdraw a code that is being misused.
8. AI designer allowance and fair use
The AI designer and generated 3D models cost us money each time they are used. For that reason, a Designer subscription comes with a monthly allowance of AI designer requests and generated 3D models. The current allowance is shown in the app, and we may adjust it.
The allowance is for your own use of the app. You may not use automated means to make requests, share your access with others to get around the allowance, or resell the results as a service.
The AI designer needs an internet connection. Its suggestions are generated automatically and are subject to section 9.
9. Accuracy of measurements and arrangements
Placed Space is a planning tool. The measurements, colors, materials and arrangements it shows are estimates, for planning only.
- Measurements come from a scan made with your device and can differ from the real room. Confirm measurements yourself, with a tape measure or another reliable method, before buying, building or renovating.
- Colors, materials and lighting are matched as closely as the scan allows and may not match what you see in the room.
- Arrangements, including those produced automatically or by the AI designer, are suggestions. Whether an arrangement is suitable, comfortable or safe in your home is for you to judge.
The app does not give professional design, architectural, engineering or safety advice, and it is not a substitute for a qualified professional. Do not rely on it for structural, electrical, fire-safety, accessibility or building-code decisions.
10. Your content
You own your content: your room scans, your photos, the dimensions you enter, and your layouts.
You grant us only the permission needed to store, sync and process your content in order to provide the service to you. For example, that covers keeping a copy in SeriousPass cloud storage if you sign in and use sync, and sending the information described in the Privacy Policy to our server and our providers when you use the AI designer or ask for a generated 3D model. That permission ends when the content is deleted.
You are responsible for your content, and for having the right to scan the rooms and photograph the things you add to the app.
11. Acceptable use
When you use the service, do not:
- break the law, or infringe or violate anyone else's rights;
- scan or photograph a place or property that you do not have permission to capture;
- copy, modify, reverse engineer, decompile or disassemble the app, except where the law allows this despite these terms;
- get around purchase requirements, tier limits, usage allowances or other technical limits;
- interfere with or disrupt the service, or try to access it or its systems without authorization;
- use automated means to access the service or to make requests to it; or
- send unlawful, harmful or abusive material to the AI designer.
12. Intellectual property
The app, this website, and their software, design, text, graphics and trademarks, including the names Placed Space, Simply Made Life and SeriousPass, belong to SeriousPixel, LLC or its licensors and are protected by law. Apart from the license in section 4, these terms give you no rights in them.
If you send us feedback or suggestions, we may use them without any obligation to you.
13. Third-party services and store terms
The app relies on services that other companies provide, such as the app stores, iCloud, and the providers named in the Privacy Policy. Your use of those services is subject to their own terms, and you must follow any third-party terms that apply to you when you use the app. We are not responsible for services we do not operate.
Your use of the app is also subject to the terms of the store you downloaded it from, including its usage rules.
If you downloaded the app from Apple's App Store
- Apple is not a party. These terms are between you and SeriousPixel, LLC only, not Apple. SeriousPixel, not Apple, is solely responsible for the app and its content.
- Scope of license. Your license is limited to a non-transferable license to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Maintenance and support. Apple has no obligation to provide any maintenance or support services for the app.
- Warranty. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
- Product claims. SeriousPixel, not Apple, is responsible for addressing any claims by you or a third party relating to the app or to your possession or use of it, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- Intellectual property claims. If a third party claims that the app, or your possession and use of it, infringes its intellectual property rights, SeriousPixel, not Apple, is solely responsible for investigating, defending, settling and discharging that claim.
- Legal compliance. You confirm that you are not located in a country that is subject to a United States government embargo or that the United States government has designated as a "terrorist supporting" country, and that you are not on any United States government list of prohibited or restricted parties.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these terms. Once you accept these terms, Apple has the right, and is deemed to have accepted the right, to enforce them against you as a third-party beneficiary.
If you downloaded the app from Google Play
Your use of the app is also subject to the Google Play Terms of Service. Google is not a party to these terms and is not responsible for the app or for supporting it.
14. Changes to the app and to these terms
We may add, change or remove features of the app, and we may stop offering the app or parts of it. Features that depend on outside services, such as the AI designer, may change when those services change.
We may also update these terms. When we do, we will post the new version on this page and change the effective date at the top. If you keep using the app after the new terms take effect, you accept them. If you do not agree with a change, stop using the app.
15. Termination
You may stop using the app at any time by deleting it. Deleting the app does not cancel a subscription; cancel that in your store account settings.
We may suspend or end your access to the service if you seriously or repeatedly break these terms, or if we are required to by law. When your access ends, your license to use the app ends too.
Sections that by their nature should continue after termination will continue, including those on your content, intellectual property, disclaimers, limitation of liability, indemnification and governing law.
16. Disclaimer of warranties
To the fullest extent the law allows, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory. That includes implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the service will be uninterrupted, secure or free of errors, that measurements or other results will be accurate or complete, or that any arrangement will suit your room or your needs.
Some places do not allow certain warranties to be excluded, so some of these exclusions may not apply to you. Nothing in these terms takes away rights that the law says cannot be taken away.
17. Limitation of liability
To the fullest extent the law allows, SeriousPixel, LLC and its owners, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or revenue, arising out of or related to the service or these terms. That includes the cost of items that were bought, built, altered or moved in reliance on a measurement or an arrangement shown in the app.
To the fullest extent the law allows, our total liability for all claims arising out of or related to the service or these terms will not be more than the amount you paid us for the app and any subscription in the twelve months before the event that gave rise to the claim.
Some places do not allow these limits, so some of them may not apply to you.
18. Indemnification
To the extent the law allows, you agree to indemnify SeriousPixel, LLC and hold it harmless from claims, losses and reasonable costs, including legal fees, that arise from your content, your misuse of the service, or your breach of these terms.
19. Governing law
These terms are governed by the laws of the State of Tennessee and applicable federal law of the United States, without regard to conflict-of-law rules. This does not take away any consumer protection that the law of the place where you live says cannot be waived.
If any part of these terms is found to be unenforceable, the rest stays in effect. If we do not enforce a part of these terms, that is not a waiver of our right to do so later. These terms, together with the Privacy Policy, are the whole agreement between you and us about the service.
